However, if a startup is operating on a larger scale with team structures implemented for different functions within a group, the ESOP structure can date itself quickly. Typically, startups gravitate towards ESOPS when they need to hire top talent fast, while providing them a sure path to attain financial success. ESOPS are particularly attractive to startups facing limited cash flow, as they allow businesses to compensate employees with equity rather than high salaries. Some of its features include:
Ownership Structure: In an ESOP, employees receive shares of stock in the company, which can appreciate in value over time, providing a financial incentive for employees to contribute to the company's success.
Vesting Schedule: ESOPs often include vesting schedules, requiring employees to stay with the company for a certain period before they fully own their shares. This encourages long-term commitment.
Legacy and Redemption: If a company is sold or goes public, employees can liquidate their shares, providing them with potential financial rewards based on the company's valuation at the time of the exit.
Understanding TSOP – Features & Benefits
Meanwhile, TSOP is an approach that focuses on collaborative groups within an organization. Unlike ESOPS, which put the focus on individuals within a startup, TSOPS revolve around teams, allowing a sense of shared ownership and accountability. This is integral especially for companies operating within an ecosystem with a common goal.
The Team Stock Ownership Plan works well for organizations that want to promote teamwork, but more importantly, it ensures all members feel invested in the company’s success and think hard about value creation. Shared objectives are at the crux of TSOPS, but here’s where it gets interesting. TSOPS allow teams to collectively own stock and decide by themselves the value they want to bring.

Deciding on ESOP vs. TSOP
The fundamental difference between ESOP and TSOP comes from decision-making. While an ESOP has limited voting rights and room to maneuver policy-making, TSOP allow teams to establish the value they want to bring on their own terms. Another key difference is that Team Leaders, or the person heading a function within a group, is allotted a particular percentage for themselves, to keep things fair. And the biggest metric is that TSOPs can dynamically assess and distribute equity based on team performance. ESOPs often have traditional decision-making structures based on ownership percentages, while TSOPs encourage consensus-based decisions within teams.
